MOZUYAN MALL Business Matchmaking System for EXPO2025 Terms of Use
Chapter 1 General Previsions
Article 1 (Terms of Use)
- This Terms of Use defines the terms for using the service related to MOZUYAN MALL Business Matchmaking Systems for EXPO2025, which is established and owned by Osaka Prefectural Government and provided on a website by the Osaka Chamber and Commerce and Industry entrusted by Osaka Prefectural Government. This applies only to the use of MOZUYAN MALL Business Matchmaking Systems for EXPO2025 (hereinafter referred to as the "Service") provided by the Office for MOZUYAN MALL Business Matchmaking Systems for EXPO2025 (hereinafter referred to as the " Executive Office"), which is established within the Osaka Prefectural Department of Commerce, Industry and Labor.
Article 2 (Definition of Terms)
- "User" refers to a person who has applied for registration to use the Service through the website (hereinafter referred to as the "Applicant") and has been approved by the Executive Office.
- "Visitor" refers to The User who utilizes the Service for the purpose of engaging in business transaction related to the Expo and who browses or uses the Service but is not User.
- "Executive Office, etc." refers to the Executive Office and those entrusted or otherwise involved in providing the Service.
Article 3 (Modification of Terms of Use)
- The Executive Office may change these Terms of Use without obtaining the Visitor's consent. In this case, the terms and conditions of the service shall follow the revised Terms of Use.
- Except as otherwise determined by the Executive Office, the revised Terms of Use shall become effective from the moment they are posted online.
Article 4 (Notification from the Executive Office, etc.)
- The Executive Office, etc. shall notify the Visitor of necessary matters from time to time by means of online displays or other methods deemed appropriate by the Executive Office, etc.
- The notice in the preceding paragraph shall become effective from the time of the Executive Office, etc. displays the contents of such notice online.
Article 5 (Compliance with the Terms of Use)
- The Visitor shall endeavor to properly use the Service in compliance with the Terms of Use, operating procedures and such.
Chapter 2 Users
Article 6 (User registration)
- The User shall be deemed to have accepted the contents of these Terms of Use at the time of application for use of the Service to the Executive Office.
Article 7 (Usage Fees)
- There is no fee for using the MOZUYAN MALL Business Matching System for EXPO2025.
- In the event that the service is to become fee-charging in the future, The User shall be noticed in advance, and a fee shall be charged in accordance with separately stipulated rules. In this case, the User shall be free to request cancellation of use for this reason.
Article 8 (Approval for the User registration)
- When the Executive Office receives the application in Article6 from the Applicants, it will approve the registration after going through the necessary examinations and procedures.
- The Executive Office will notify users whose user registration has been approved by e-mail of their user ID and password (hereinafter referred to as user ID, etc.).
Article 9 (Disapproval of User registration)
- The Executive Office may not approve the registration of an applicant if, as a result of examination, it determines that the Applicant falls into any of the following categories.
- The Applicant does not exist.
- When the Applicant applies for user registration, if their user ID is currently under suspension due to violations of the terms of use or has been revoked in the past due to violations of the terms of use.
- When the content of the Application for user registration is false or omits important matters.
- The Applicant is a minor, an adult ward, a person under curatorship, or a person under assistance, and has not obtained the consent of his/her legal representative, adult guardian, curator or assistant at the time of application for use.
- When it is determined that there is, or is likely to be, a problem with the operation or technology of the Service.
- When the Applicant falls under each item of Article 29.
- Other cases in which the Executive Office deems it inappropriate.
Article 10 (Prohibition of Transfer and so forth)
- The User may not transfer, sell, trade, change the name of, pledge, or otherwise offer as collateral any User's rights (including user ID, etc.) as a User to any third party.
Article 11 (Change of Registration)
- If there is any change in the trade name, address, or any other application details registered for use to the Executive Office, The User shall promptly apply for the change in the prescribed procedure.
- When the Executive Office receives the application described in the preceding paragraph, The Executive Office will approve the change registration after going through the necessary examinations and procedures.
- When the Executive Office approves the change registration, it will notify the applicant of the change registration by e-mail.
- The Executive Office shall not be held liable for any disadvantages incurred by the user as a result of not processing the change.
Article 12 (Cancellation of user registration)
- When the User cancels the registration for using this service, the User shall notify The Executive Office in the prescribed procedure.
Article 13 (Facilities and so forth.)
- The Visitor shall, at their own expense and responsibility, prepare all communication equipment, software, and all other equipment necessary to use the Service and to make the Service available to the Visitor.
The Visitor shall also connect to and use the Service via any telecommunication service at their own cost and responsibility.
Chapter 3 Visitor Obligations
Article 14 (Principle of Self Responsibility)
- The User shall be responsible for any and all acts performed using the Service under the User's ID and the results thereof, regardless of whether such acts were performed by the User or not.
- In the event that The Visitor is notified by any third party (whether domestic or foreign, and regardless of whether they are Visitors) of any inquiries, complaints, etc., in connection with the use of the Service, the Visitor shall handle and resolve the matter at their own responsibility and expense.
- If The Visitor causes damage to the Executive Office, etc. through the use of the Service or failure to fulfill obligations under the Terms of Use, the Visitor shall compensate for such damage at their own responsibility and expense.
Article 15 (Responsibility for User ID and Password Executive)
- The User shall not allow others to use, share, or authorize others to use their user ID, etc. corresponding password and the right to use the Service on the condition of personal authentication. The User shall be fully responsible for the use and Executive of their user ID, etc.
- The Executive Office, etc. shall not be liable for any damage incurred by The User due to the use of the user ID, etc. by any third party, regardless of whether such use is intentional or negligent.
- If The User forgets their password, the User shall immediately notify the Executive Office and follow its instructions.
Article 16 (Prohibition of Use Outside the Range of Private Use)
- The Visitor may not use any data, information, text, statements, software and so forth (hereinafter referred to as "data, and so forth") obtained through the Service for reproduction, sale or publication, etc., beyond the range of personal use as permitted by copyright law, except when approved by the Executive Office. (Including obtaining approval from a third party through the Executive Office if such third party has rights to the information in question.)
- The User shall not allow any third party to perform any act in violation of the preceding paragraph.
Article 17 (Other Prohibited Provisions)
- In addition to the preceding Article, the Visitor may not engage in the following activities on the Service or in any subsequent business negotiations.
- Acts that infringe or may infringe intellectual property rights such as copyrights and trademarks of others.
- Acts that infringe or may infringe the property, privacy or portrait rights of others.
- Acts that writing that may cause others to feel dislike.
- Acts that discriminate against or slander others, or defame the honor or trustworthiness of others.
- Acts that lead or may lead to crimes such as fraud.
- Acts that transmitting or displaying images, documents and so forth that are obscene, child pornography, or child abuse.
- Acts that of posting or disseminating information regarding the below matter.Firearms or Swords and Other Such Weapons, adult products in general, drugs that are prohibited for domestic sale, "sex-related special business" and "telephone introduction business" stipulated in the Amusement Business Act, Regarding products that have issues with advertising display based on the provisions of the "Act on Securing Quality, Efficacy, and Safety of Pharmaceuticals, Medical Devices, etc." and the "Provisions of the Health Promotion Act, etc.", information on illegal products in general, and other information that the Executive Office deems inappropriate.
- Acts that falsifying or deleting information of the Executive Office, etc. or others accessible through the Service.
- Acts that of using the Service by impersonating another person.
- Acts that transmitting harmful computer programs, etc. or placing them in a state where others can receive them. Acts of illegally accessing the internal network of the Executive Office, etc., or the other Visitors.
- Acts that pre-election campaigning, election campaigning, or similar activities, as well as activities that conflict with the Public Offices Election Law.
- Acts that sending e-mail that contain advertisements, promotions, or solicitations that may cause or are likely to cause discomfort or aversion to others, actions that interfere with others' receipt of emails, and acts of forwarding or requesting the forwarding of chain emails, or acting in response to such requests by forwarding them.
- Acts that unauthorized access to the facilities of others or the facilities for the Service (communication facilities, computers, and other equipment and software provided by the Executive Office, etc., to provide this service; the same applies hereinafter), or acts that interfere (including acts that may interfere) with the use or operation of such facilities.
- Acts that collecting another party's corporate information without the consent of the individual or the Executive Office, or through fraudulent means.
- Acts that using information obtained from the other party in the business negotiations for the company's own sales activities or for any other purposes without obtaining permission from the party.
- In cases where notification to regulatory authorities, acquisition of permits and approvals, or other procedures are required under laws and regulations, acts that do not fulfill such procedures, or other acts that violate or may violate such laws and regulations.
- Acts that use the Service for purposes other than its intended purpose.
- Acts that use the Service for the company's sales purposes, such as using “the List of Suppliers“ as a sales prospect list.
- Acts that using this Service despite having no intention to engage in commercial transactions and so forth.
- In addition to the above, acts that violate laws, regulations, the Terms of Use, or public order and morals, acts that obstruct the operation of the Service, acts that damage the reputation of the Executive Office, etc., or acts that infringe on the property of the Executive Office, etc., or acts that cause disadvantage to third party or the Executive Office, etc.
- Acts that set links to data, etc., that contain any actions corresponding to any of the above items (including cases where such actions are performed by others).
- Acts that equivalent to the above-mentioned acts.
- Any other acts that the Executive Office deems inappropriate.
- If the User engages in any act that violates the provisions set forth in this chapter, the User may be liable for damages in accordance with applicable laws and regulations, as well as the Terms of Use, and may also be subject to the penalties specified in Articles 18 and 25.
Chapter 4 Executive
Article 18 (Suspension of User ID)
- In any of the following cases, the Executive Office may suspend the User ID without the User's consent.
- When the Executive Office is unable to contact The User by telephone, fax, e-mail, etc.
- When mail sent to The User is returned to the Executive Office.
- When the Executive Office determines that there is a probability that the User falls under any of the grounds for cancellation of use listed in each item of Article 25, Paragraph 1.
- In addition to the above cases, if the Executive Office deems it necessary for the appropriate operation of this service.
- The Executive Office, etc., shall not be liable for any loss or damage incurred by the User who comes to be unable to use the Service as a result of the Executive Office taking the measures described in the preceding paragraph.
Article 19 (Deletion of Data and so forth)
- The Executive Office may delete data and so forth registered by The User with the Service without prior notice to the user for the purpose of operation and maintenance of the Service.
- The Executive Office, etc. shall not be liable for any loss or damage incurred by The User as a result of the measures taken by the Executive Office as described in the preceding paragraph.
Article 20 (Changes in Contents of the Service and so forth)
- The Executive Office, etc. may change the content and name of the Service without prior notice to The User when necessary for operation, maintenance, improvement, or enhancement.
- The Executive Office, etc. shall not be liable for any loss or damage incurred by The User as a result of the changes and so forth described in the preceding paragraph.
Article 21 (Temporary Suspension of this Service)
- The Executive Office, etc. may temporarily suspend the Service without prior notice to The Visitor in the event of any of the following events.
- When performing periodic or emergency maintenance of the facilities for the Service.
- When performing periodic or emergency maintenance of the facilities for the Service.
- When performing periodic or emergency maintenance of the facilities for the Service.
- When the Service cannot be provided due to force majeure such as war, upheaval, riot, disturbance, labor dispute, spread of infectious disease, declaration of state of emergency, cyber-attack, sabotage by third party, or other unforeseen circumstances.
- In any other cases where the Executive Office, etc. deems it necessary to temporarily suspend this Service for operational or technical reasons.
- The Executive Office, etc. shall not be liable for any damage incurred by The Visitor or others resulting from delays or interruptions in the provision of the Service due to any of the case in preceding paragraph or for any other reason.
Article 22 (Disclaimer)
- The Executive Office, etc. shall not be responsible for the completeness, accuracy, applicability, usefulness, as such. of any data or information registered with or provided through the Service.
- The Executive Office, etc. shall not be liable for any loss (including deletion by the Executive Office, etc. in accordance with Article 19) or alteration by others of any data, as such. that The User has stored in the Service or that The User has authorized others to store.
- The Executive Office, etc. shall not be liable for any damage to computers, lines, software, as such. caused by use of the Service, downloading from the Service or related websites, computer virus infection, and so on.
- In addition to Articles 17 and 21 and the preceding paragraph, the Executive Office, etc. shall not be liable for any damages incurred by the User (including damages caused by troubles with other party) arising from the use of the Service, or for damages incurred by the Visitor or third parties arising from their inability to use the Service, The Executive Office shall have no obligation to compensate for any of these damages.
- The Executive Office, etc. shall not be liable for any direct, incidental, consequential, indirect, or punitive damages, expenses, losses, or liabilities arising from the use of the information posted on the Service by the Visitor.
Article 23 ( Suspension or Discontinuance of the Service)
- The Executive Office may suspend or terminate the Service, in whole or in part, with prior notice posted online. In such cases, prior notice of the suspension or abolition of the Service shall be deemed to have reached all of the Visitor at the time it is displayed online.
- The Executive Office, etc. shall not be liable for any loss or damage incurred as a result of the suspension or discontinuance of the Service based on the provisions of the preceding paragraph.
Article 24 (Dealing with Violations of the Terms of Use, etc.)
- The Executive Office may take any or all of the following measures against the User if the User violates the Terms of Use, if complaints, claims, or other demands from third parties regarding the User's use of the service are made to the Executive Office and the Executive Office deems it necessary, or if the Executive Office determines that the User's conduct is inappropriate for the operation of the service.
- Require the User to stop violating the Terms of Use and to refrain from repeating such actions.
- Require the User to engage in discussions with the other party to resolve complaints or other related issues.
- Require the User to delete the information transmitted or displayed by the User.
- May delete or modify of the information transmitted or displayed by the User, or place it in a state the it cannot be viewed by others, without prior notice.
- Suspend the use of the User ID or cancel the use of the User ID with prior notice. (However, if the Executive Office deems it urgent, it will notify the User concerned after the fact.)
- The preceding paragraph does not negate the principle of User's self-responsibility as stipulated in Article 14.
- The User agrees that the provisions of Paragraph 1 do not impose an obligation on the Executive Office to take the measures stipulated in Paragraph 1. In addition, agrees to indemnify and hold harmless the Executive Office and related parties from any consequences arising from the measures taken by the Executive Office under the provisions of Paragraph 1.
Article 25 (Cancellation of user registration)
- The Executive Office may cancel the use of the Service without prior notice or demand to the User in any of the following cases.
- In case any of the provisions of Article 9, each item of Paragraph 1 of Article 17, or each item of Paragraph 1 of Article 18 apply.
- In case a petition for bankruptcy is filed against the User, or in the event of the User's insolvency, business closure, or a petition under the Civil Rehabilitation Act, etc.
- In case of loss of identity as a juridical person due to an absorption-type merger or reorganization, and so forth, or transfer of all business of the User.
- In case of destructive or disruptive acts, or a threat of such acts occurring by the User against the Service.
- In case of theft, fraud, extortion, embezzlement, breach of trust, bribery, obstruction of business, defamation, insult, threats, public display of obscene materials, tampering or destruction of electronic records, unauthorized access, information leakage, illegal trading, or any other misuse or abuse of the Service by the User.
- In case the User fails to comply with any of the requests specified in Items 1 to 3 of Paragraph 1 of the previous Article, despite receiving such requests from the Executive Office.
- In case the User falls under any of the provisions of Article 29.
- In case the Executive Office determines that the User is inappropriate.
- If the Executive Office, etc. suffers damages due to the User falling under any of the items of the preceding paragraph, the Executive Office, etc. or others may demand compensation incurred.
- The Executive Office, etc. shall not be liable for any damage incurred as a result of the disposition taken in accordance with paragraph 1.
Article 26 (Use of Other Networks)
- In the event that the User uses a computer or network of a third party other than the Executive Office (hereinafter referred to as "Other Net") via the Service, the user shall use such other networks as determined by the administrator of such other networks and follow their instructions, the conditions and notes, etc. and will not use other networks to perform acts that fall under each item of Paragraph 1 Article 17.
- The Executive Office, etc. shall not be responsible for any use of Other Net via the Service.
- The Terms of Use shall also apply to the use of Other Net via the Service.
Chapter 5 Secrets of Corporate Information and Communications
Article 27 (Use of Company Information)
- The Executive Office, etc. shall not use the User’s corporate information for any purpose other than the provision of the Service and the affiliated the Business Mall. However, this shall not apply in the following cases.
- In cases of sending emails or similar communications to the User for the purpose of utilizing them in the operations of the Executive Office, etc., or related organizations.
- In cases of sending e-mails to request consent from the User for the use of corporate information.
- In case there are reasonable circumstances necessary for the provision of the Service, and there is no other appropriate method other than using the User's corporate information.
- In case the User's consent is obtained.
- If the Executive Office, etc. decides to cooperate with the services of a third party in order to improve the services provided to users, the Executive Office, etc. may provide corporate information to the service providers concerned. In such cases, the Executive Office, etc. shall be exempted from the obligations described in the preceding paragraph.
- The Executive Office, etc. may compile and analyze the attributes of Users' corporate information, prepare statistical data, use and process such data for the provision of the Service, and provide such statistical data to the Executive Office, etc. and other related organizations. In such cases, the Executive Office, etc. shall be exempted from the obligations stipulated in Paragraph 1.
- The Executive Office, etc. shall not be obliged to perform the obligations in Paragraph 1 in the event of a compulsory disposition under Article 218 of the Code of Criminal Procedure (e.g., seizure or investigation based on a warrant) or other reasonable grounds.
- In the event of discontinuation of the Service, the User's corporate information may continue to be used by Osaka Prefectural Government or a prefectural government-designated funded corporation for the purpose of utilizing the information for work related to Osaka Prefectural Government's commerce, industry, and labor policies.
Article 28 (Secrecy of Communications)
- The Executive Office, etc. shall protect the confidentiality of the User's communications in accordance with Article 4 of the Telecommunications Business Law.
- The Executive Office, etc. may compile and analyze the User's record of use of the Service, prepare statistical data, use and process such data for the provision of the Service, and provide such statistical data to the relevant organizations, etc. In such cases, the Executive Office, etc. shall be exempted from the obligations described in the preceding paragraph.
- In the event of a compulsory disposition (e.g., seizure by warrant, investigation) pursuant to Article 218 of the Code of Criminal Procedure or other reasonable cause, the Executive Office, etc. shall not be obligated to maintain the confidentiality of the information in Paragraph 1 to the extent of the said disposition. In this case, the Executive Office, etc. shall be exempted from the obligations of paragraph 1.
Chapter 6 Exclusion of Antisocial Forces
Article 29.
- The Executive Office may refuse registration, cancel it, or deny the use of the Service if any of the following circumstances apply to the User. Additionally, if corporate information or similar data has already been posted, the Executive Office may remove it.
- When it is found that the User, or the company to which the User belongs, and its officers and employees (including those engaged in corporate activities regardless of their employment status, hereinafter the same) are found to be a crime syndicate, a member of a crime syndicate, a quasi-organization member of a crime syndicate, a company or organization affiliated with a crime syndicate, a social action group such as a general assembly house, a special intelligence crime group, an organization to which the Subversive Activities Prevention Act is applied, or any other similar entity, or When a person is found to be an anti-social force or to have a close relationship with such a person (hereinafter referred to as "anti-social force")
- When it is found that the User or the company to which the User belongs or its officers or employees are cooperating with or involved in antisocial forces, or when it is found that antisocial forces are involved in the Executive of the User's business partner.
- When the User or the company to which the User belongs, as well as its officers or employees, directly or through a third party, is subjected to acts of violent demands, unjust demands exceeding legal responsibilities, acts using threats or violence, or other similar acts.
- When the User or the company to which the User belongs, as well as its officers or employees, directly or through a third party, is subjected to the spreading of rumors, deception, or coercion resulting in damage to reputation or disruption of business operations, or other similar acts.
- When it is found that the User or a company to which the User belongs, or a director or employee of such a company, has committed an act that encourages the activities of antisocial forces, such as providing funds to such forces.
Chapter 7 Others
Article 30 (Users of Other Net)
- Users of Other Net linked the Service shall use the Service in accordance with the Terms of Use.
Article 31(Resolution of Uncertainties)
- Matters not specified in the Terms of Use, as well as any questions or doubts regarding the interpretation of the Terms of Use, shall be determined by the Executive Office, etc., as necessary.
Article 32 (Exclusive Agreed Jurisdiction)
- In the event that litigation becomes necessary between the Visitor and the Executive Office, the Osaka District Court shall be the exclusive agreed court of jurisdiction for the first instance.
Article 33 (Applicable Law)
- These Terms of Use shall be governed by and construed in accordance with the laws of Japan.
Supplementary Provisions
- These Terms of Use shall come into effect on June 22, 2023.
