Article 1 (Terms of Use)

1. This terms of use set forth the terms of use of the services related to MOZUYAN MALL Business Matchmaking System for EXPO2025, which is established and owned by Osaka Prefecture and provided on the website by the Osaka Chamber of Commerce and Industry under consignment from Osaka Prefecture. This applies only to the use of MOZUYAN MALL Business Matchmaking System for EXPO2025 (hereinafter referred to as the "Service") provided by The Office for MOZUYAN MALL Business Matchmaking System for EXPO2025 (hereinafter referred to as the "Executive Office") established within the Osaka Chamber of Commerce and Industry.

Article 2 (Modification of Terms of Use)

1. The Executive Office may change these Terms of Use without the approval of The User. In such cases, the terms of use of the Service shall be governed by the modified Terms of Use.
2. The amended Terms of Use shall become effective from the moment they are posted online, otherwise stipulated by the Executive Office.

Article 3 (Notification from the Executive Office)

1. The Executive Office shall notify users of necessary matters from time to time by means of online displays or other methods deemed appropriate by the Executive Office.
2. The notice in the preceding paragraph shall become effective from the time the Executive Office displays the contents of such notice online.

Article 4 (Compliance with Rules of Use)

1. The User shall endeavor to properly use the Service in compliance with the Rules of Use, operating procedures and such.

Article 5 (Qualifications for Use)

1. Users are limited to those who use this service for the purpose of conducting commercial transactions related to the Expo, and who belong to businesses whose use registration has been approved by the Executive Office.

Article 6 (User registration)

1. "User" means a person who has applied for registration of use of this service to the Executive Office from the website (hereinafter referred to as "Applicant") , and has been approved by the Executive Office.
2. The User shall be deemed to have accepted the contents of these Terms of Use at the time of application for use of the Service to the Executive Office.
3. Users must comply with the provisions of the Terms of Use.

Article 7 (Usage Fees)

1. There is no fee for using the services of MOZUYAN MALL Business Matchmaking System for EXPO2025.
2. In the event that the service is to become fee-charging in the future, The User shall be notified in advance, and a fee shall be charged in accordance with separately stipulated rules.In this case, The User shall be free to request cancellation of use for this reason.

Article 8 (Approval of user registration)

1. When The Executive Office receives the application in Article 6 , Paragraph 1 from Applicant, it will approve the registration after going through the necessary examinations and procedures.
2. The Executive Office will notify users whose user registration has been approved by e-mail of their user ID and password (hereinafter referred to as user ID, etc.).

Article 9 (Disapproval of user registration)

1. The Executive Office may not approve the registration of an applicant if, as a result of examination, it determines that the User registration applicant (hereinafter referred to as "applicant") falls into any of the following categories.
   1. The applicant does not have the qualifications specified in Article 5.
   2. The applicant does not exist.
   3. When an applicant applies for user registration, if their user ID is currently under suspension due to violations of the terms of use or has been revoked in the past due to violations of the terms of use.
   4. When the content of the application for user registration is false or omits important matters.
   5. The applicant is a minor, an adult ward, a person under curatorship, or a person under assistance, and has not obtained the consent of his/her legal representative, adult guardian, curator or assistant at the time of application for use.
   6. When it is determined that there is, or is likely to be, a problem with the operation or technology of the Service.
   7. When the applicant falls under each item of Article 29.
   8. Other cases in which the Executive Office deems it inappropriate.

Article 10 (Prohibition of Transfer and so forth)

1. The User may not transfer, sell, trade, change the name of, pledge, or otherwise offer as collateral any User's rights (including user ID, etc) as a User to any third party.

Article 11 (Change of Registration)

1. If there is any change in the trade name, address, or any other application details registered for use to the Executive Office, The User shall promptly apply for the change in the prescribed procedure.
2. When the Executive Office receives the application described in the preceding paragraph, The Executive Office will approve the change registration after going through the necessary examinations and procedures.
3. When the Executive Office approves the change registration, it will notify the applicant of the change registration by e-mail.
4. The Executive Office shall not be held liable for any disadvantages incurred by the user as a result of not processing the change.

Article 12 (Cancellation of user registration)

1. When the user cancels the registration for using this service, the User shall notify The Executive Office in the prescribed procedure.

Article 13 (Facilities and so forth.)

1. The User shall, at his/her own expense and responsibility, prepare all communication equipment, software, and all other equipment necessary to use the Service and to make the Service available to the User.
   The User shall also connect to and use the Service via any telecommunication service at your own cost and responsibility.

Article 14 (Principle of Self Responsibility)

1. The User shall be responsible for any and all acts performed using the Service under his/her user ID and the results thereof, regardless of whether such acts were performed by the User himself/herself or not.
2. In the event that The User is notified by another User (whether domestic or foreign, and not limited to the User) of any inquiry, claim, etc., in connection with the use of the Service, the User shall handle and resolve the matter at the User's own responsibility and expense.
3. If The User causes damage to the Executive Office or Osaka Prefecture, their Persons who provide the Service through consignment (hereinafter referred to as the “Executive Office, etc”) through the use of the Service or failure to fulfill obligations under the Terms of Use, the User shall compensate for such damage at the User's own responsibility and expense.

Article 15 (Responsibility for User ID and Password Management)

1. The User shall not allow others to use, share, or authorize others to use his/her user ID, etc, corresponding password and the right to use the Service on the condition of personal authentication. The User shall be fully responsible for the use and management of his/her user ID, etc.
2. The Executive Office, etc shall not be liable for any damage incurred by The User due to the use of the User ID , etc , by another person, regardless of whether such use is intentional or negligent.
3. If The User forgets his/her password, the User shall immediately notify the Executive Office and follow its instructions.

Article 16 (Prohibition of Use Outside the Range of Private Use)

1. The User may not use any data, information, text, statements, software and so forth (hereinafter referred to as "data, and so forth") obtained through the service for reproduction, sale or publication etc beyond the range of personal use as permitted by copyright law, except when approved by the Executive Office. (including obtaining approval from a third party through the Executive Office if such third party has rights to the information in question)
2. The User shall not allow any third party to perform any act in violation of the preceding paragraph.

Article 17 (Other Prohibited Provisions)

1. In addition to the preceding Article, users may not engage in the following activities on the Service or in any subsequent business negotiations.
   1. Acts that infringe or may infringe intellectual property rights such as copyrights and trademarks of others.
   2. Acts that infringe or may infringe the property, privacy or portrait rights of others.
   3. Acts that writing that may cause others to feel dislike.
   4. Acts that discriminate against or slander others, or defame the honor or trustworthiness of others.
   5. Acts that lead or may lead to crimes such as fraud.
   6. Act thats transmitting or displaying images, documents and so forth that are obscene, child pornography, or child abuse.
   7. Acts that of posting or disseminating information regarding the below matter.
      Firearms or Swords and Other Such Weapons,adult products in general, drugs that are prohibited for domestic sale, "sex-related special business" and "telephone introduction business" stipulated in the Amusement Business Act, Regarding products that have issues with advertising display based on the provisions of the "Act on Securing Quality, Efficacy, and Safety of Pharmaceuticals, Medical Devices, etc." and the "Provisions of the Health Promotion Act, etc.", information on illegal products in general,and other information that the Executive Office deems inappropriate.
   8. Acts that falsifying or deleting information of the Executive Office, etc or others accessible through the Service.
   9. Acts that of using this service by impersonating another person.
   10. Acts that transmitting harmful computer programs, etc, or placing them in a state where others can receive them. Acts of illegally accessing the internal network of the Executive Office, etc or other users.
   11. Acts that pre-election campaigning, election campaigning, or similar activities, as well as activities that conflict with the Public Offices Election Law.
   12. Acts that sending e-mail that advertises, promotes, solicits, etc., or may cause disgust (harassing e-mail) to others. Interfering with another person's receipt of e-mail. Requesting the forwarding of chain mail, or forwarding mail in response to such requests.
   13. Acts that unauthorized access to the facilities of others or the facilities for this service (communication facilities, computers, and other equipment and software provided by the Executive Office, etc to provide this service; the same applies hereinafter), or acts that interfere (including acts that may interfere) with the use or operation of such facilities.
   14. Acts of collecting other's company information without obtaining the consent of the person or the Executive Office or by fraudulent means
   15. Using information obtained from the other party in the business negotiations for the company's own sales activities or for any other purposes without obtaining permission from the said party.
   16. In cases where notification to regulatory authorities, acquisition of permits and approvals, or other procedures are required under laws and regulations, acts that do not fulfill such procedures, or other acts that violate or may violate such laws and regulations.
   17. Acts that using for purposes other than the purpose of this service
       1. Acts that using the company search for the company's business, such as using this Service as a company's business list.
       2. Acts that using this Service despite having no intention to engage in commercial transactions and so forth.
   18. In addition to the above, acts that violate laws and regulations, these Terms of Use, or public order and morals, acts that obstruct the operation of this service, acts that damage the reputation of the Executive Office, etc, or acts that infringe on the property of the Executive Office, etc or acts that cause disadvantage to other persons or the Executive Office, etc.
   19. Acts that set a link to data, etc in which any of the above-mentioned actions (including cases in which the said actions are performed by others) can be seen.
   20. Acts that equivalent to the above-mentioned acts.
   21. In case where acts that the Executive Office deems inappropriate.
2. Acts that a user violates the provisions of this chapter, the user may be liable for damages in accordance with relevant laws and regulations and the terms of service, and may be subject to the dispositions specified in Articles 18 and 25.

Article 18 (Suspension of User ID)

1. In any of the following cases, the Executive Office may suspend the use of The User ID allocated to the user in question without obtaining the approval of The User in question.
   1. When The Office for MOZUYAN MALL Business Matchmaking System for EXPO2025 are unable to contact The User by telephone, fax, e-mail, etc.
   2. When mail sent to The User is returned to the Executive Office.
   3. When the Executive Office determines that there is a probability that The user falls under any of the grounds for cancellation of use listed in each item of Article 25, Paragraph 1.
   4. In addition to the above cases, if the Executive Office deems it necessary for the appropriate operation of this service.
2. The Executive Office, etc shall not be liable for any loss or damage incurred by a User who comes to be unable to use the Service as a result of the Executive Office taking the measures described in the preceding paragraph.

Article 19 (Deletion of Data and so forth)

1. The Executive Office may delete data and so forth registered by The User with the Service without prior notice to the user for the purpose of operation and maintenance of the Service.
2. The Executive Office, etc shall not be liable for any loss or damage incurred by The User as a result of the measures taken by the Executive Office as described in the preceding paragraph.

Article 20 (Changes in Contents of the Service and so forth)

1. The Executive Office may change the content and name of the Service without prior notice to The User when necessary for operation, maintenance, improvement, or enhancement.
2. The Executive Office, etc shall not be liable for any loss or damage incurred by The User as a result of the changes and so forth described in the preceding paragraph.

Article 21 (Temporary Suspension of this Service)

1. The Executive Office may temporarily suspend the Service without prior notice to The User in the event of any of the following events.
   1. When performing periodic or emergency maintenance of the facilities for this Service.
   2. When this service can no longer be provided due to fire, power outage, failure, etc.
   3. When this Service can no longer be provided due to natural disasters such as earthquakes, eruptions, floods, tsunamis, lightning strikes and so forth.
   4. When this service cannot be provided due to force majeure such as war, upheaval, riot, disturbance, labor dispute, spread of infectious disease, declaration of state of emergency, cyber attack, sabotage by a third party, or other unforeseen circumstances.
   5. In any other cases where the Executive Office deems it necessary to temporarily suspend this Service for operational or technical reasons.
2. The Executive Office, etc shall not be liable for any damage incurred by The User or others resulting from delays or interruptions in the provision of the Service due to any of the case in the preceding paragraph or for any other reason.

Article 22 (Disclaimer)

1. The Executive Office, etc shall not be responsible for the completeness, accuracy, applicability, usefulness, as such. of any data or information registered with or provided through the Service.
2. The content posted on the "Notices" registered in this service is the content registered by the ordering company and the poster as it is.From the viewpoint of facilitating the smooth distribution of information, the Executive Office does not review or revise the content of the applications. However, in accordance with the Terms of Use and the "MOZUYAN MALL Business Matchmaking System for EXPO2025" rules, the Executive Office may contact The User for confirmation if The User submit an offer that cannot be approved, or if Executive Office find that the information User submit is inappropriate, Executive Office will reject User's offer.
3. The Executive Office, etc shall not be liable for any loss (including deletion by the Executive Office in accordance with Article 19) or alteration by others of any data, as such. that The User has stored in the Service or that The User has authorized others to store.
4. The Executive Office, etc shall not be liable for any damage to computers, lines, software, as such. caused by use of the Service, downloading from the Service or related websites, computer virus infection, and so on.
5. In addition to Articles 17 and 21 and the preceding paragraph, the Executive Office, etc shall not be liable for any damages incurred by users (including damages caused by troubles with others) arising from the use of the Service, or for damages incurred by users or other users arising from their inability to use the Service, The Executive Office shall have no obligation to compensate for any of these damages.
6. The Executive Office, etc shall not be liable for any direct, incidental, consequential, indirect, or punitive damages, expenses, losses, or liabilities arising from the use of the information posted on this service by users of the "MOZUYAN MALL Business Matchmaking System for EXPO2025".

Article 23 ( Suspension or Discontinuance of the Service)

1. The Executive Office may suspend or terminate the Service, in whole or in part, with prior notice posted online. In such cases, prior notice of the suspension or abolition of the Service shall be deemed to have reached all users at the time it is displayed online.
2. The Executive Office, etc shall not be liable for any loss or damage incurred as a result of the suspension or discontinuance of the program based on the provisions of the preceding paragraph.

Article 24 (Dealing with Violations of the Terms of Use, etc.)

1. If a user violates the Terms of Use, if the Executive Office receives a claim or demand from a user in connection with The User's use of the Service and the Executive Office, etc deems it necessary, or if the Executive Office deems it inappropriate for the operation of the Service, the Executive Office may take any or all of the following actions against the user.
   1. Stop The User violating the Terms of Use and demand that The User do not repeat the same conduct.
   2. Require that discussions be held with others to resolve claims, as such.
   3. Requests the deletion of information transmitted or displayed by The User.
   4. Delete or modify of the information transmitted or displayed by The User, or place it in a state where it cannot be viewed by others, without prior notice.
   5. Suspend the use of The User ID or cancel the use of the user ID with prior notice. (However, if the Executive Office deems it urgent, it will notify the user after the fact.)
2. The preceding paragraph does not negate the principle of User's self Responsibility as stipulated in Article 14.
3. The User agrees that the provisions of Paragraph 1 shall not impose any obligation on the Executive Office to take the measures stipulated in Paragraph 1. In addition, the User shall indemnify and hold the Executive Office harmless from any consequences arising from the Executive Office, taking the measures specified in Paragraph 1.

Article 25 (Cancellation of user registration)

1. The Executive Office may cancel the use of the Service without prior notice or demand to The User in any of the following cases.
   1. When any of the items in Article 9, Article 17, or Article 18 applies.
   2. Petition for bankruptcy with The User as the bankrupt, bankruptcy or closure of the User's business, petition under the Civil Rehabilitation Law, as such.
   3. Loss of identity as a juridical person due to absorption-type merger or reorganization, and so forth, or transfer of all business of The User.
   4. When there is an act of destruction or sabotage, or the threat of such acts, by The User against the Service.
   5. Theft, fraud, extortion, embezzlement, breach of trust, bribery, obstruction of business, defamation, insult, threat, obscenity, Tampering or destruction of electronic records, Unauthorized access, information leak, illicit trade, Other misuse or abuse by this service.
   6. If, despite receiving a request from the Executive Office for any of items (1) through (3) of the preceding article paragraph 1, the request is not complied with.
   7. If The User falls under each item of Article 29.
   8. In the event that the Executive Office, etc deem you to be inappropriate as a user.
2. If the Executive Office, etc or others suffer damages due to a User falling under any of the items of the preceding paragraph, the Executive Office, etc or others may demand compensation for the damages suffered by The User.
3. The Executive Office, etc shall not be liable for any damage incurred as a result of the disposition taken in accordance with paragraph 1.

Article 26 (Use of Other Networks)

1. In the event that the User uses a computer or network of a third party other than the Executive Office (hereinafter referred to as "Other Net") via this service, the user shall use such other networks as determined by the administrator of such other networks and follow their instructions, the conditions and notes, etc and will not use other networks to perform acts that fall under each item of Article 17.
2. The Executive Office shall not be responsible for any use of Other Net via the Service.
3. The Terms of Use shall also apply to the use of Other Net via this service.

Article 27 (Use of Company Information)

1. The Executive Office, etc shall not use The User's company information for any purpose other than the provision of the Service and the affiliated The Business Mall. However, this shall not apply in the following cases.
   1. When sending e-mails, as such. to The User for use in the business of the Executive Office, etc or other related organizations of the Executive Office, etc.
   2. When sending e-mails to request consent from users for the use of company information.
   3. When there are circumstances in which it is reasonably necessary to provide this service and there is no other appropriate method other than using The User's corporate information.
   4. When The User's consent is obtained.
2. If the Executive Office, etc decides to cooperate with the services of a third party in order to improve the services provided to users, the Executive Office, etc may provide company information to the service providers concerned. In such cases, the Executive Office, etc shall be exempted from the obligations described in the preceding paragraph.
3. The Executive Office, etc may compile and analyze the attributes of Users' corporate information, prepare statistical data, use and process such data for the provision of the Service, and provide such statistical data to the Executive Office, etc and other related organizations, as such.In such cases, the Executive Office, etc shall be exempted from the obligations stipulated in Paragraph 1.
4. The Executive Office, etc shall not be obliged to perform the obligations in Paragraph 1 in the event of a compulsory disposition under Article 218 of the Code of Criminal Procedure (e.g., seizure or investigation based on a warrant) or other reasonable grounds.
5. In the event of discontinuation of this service, The User's corporate information may continue to be used by Osaka Prefecture or a prefectural government-designated funded corporation for the purpose of utilizing the information for work related to Osaka Prefecture's commerce, industry, and labor policies.

Article 28 (Secrecy of Communications)

1. The Executive Office, etc shall protect the confidentiality of The User's communications in accordance with Article 4 of the Telecommunications Business Law.
2. The Executive Office, etc may compile and analyze The User's record of use of the Service, prepare statistical data, use and process such data for the provision of the Service, and provide such statistical data to the relevant organizations, as such. In such cases, the Executive Office, etc shall be exempted from the obligations described in the preceding paragraph.
3. In the event of a compulsory disposition (such as seizure by warrant, investigation ,etc.) pursuant to Article 218 of the Code of Criminal Procedure or other reasonable cause, the Executive Office, etc shall not be obligated to maintain the confidentiality of the information in Paragraph 1 to the extent of the said disposition.In this case, the Executive Office, etc shall be exempted from the obligations of paragraph 1.

Article 29.

1. The Executive Office may refuse or cancel a user's membership registration, refuse The User's use of the service, or delete the user's company information and so forth if any of the following events occur.
   1. When a User or a company to which a User belongs, or a director or employee of such a company (A person who engages in corporate activities regardless of the form of employment; the same shall apply hereinafter) is found to be a member of a crime syndicate, a member of a crime syndicate, a quasi-organization member of a crime syndicate, a company or organization affiliated with a crime syndicate, a social action group such as a general assembly house, a special intelligence crime group, an organization to which the Subversive Activities Prevention Act is applied, or any other similar entity, or When a person is found to be an anti-social force or to have a close relationship with such a person (hereinafter referred to as "anti-social force")
   2. When it is found that The User or the company to which The User belongs or its officers or employees are cooperating with or involved in antisocial forces, or when it is found that antisocial forces are involved in the management of the User's business partner.
   3. When the User or the company to which the User belongs, as well as its officers or employees, directly or through a third party, is subjected to acts of violent demands, unjust demands exceeding legal responsibilities, acts using threats or violence, or other similar acts.
   4. When the User or the company to which the user belongs, as well as its officers or employees, directly or through a third party, is subjected to the spreading of rumors, deception, or coercion resulting in damage to reputation or disruption of business operations, or other similar acts.
   5. When it is found that The User or a company to which The User belongs, or a director or employee of such a company, has committed an act that encourages the activities of antisocial forces, such as providing funds to such forces.

Article 30 (Users of other networks)

1. When users of other networks linked to MOZUYAN MALL Business Matchmaking System for EXPO2025 use this Service, they shall do so in accordance with this Terms of Use.

Article 31 (Business meeting and Settlement)

1. Any matter not stated in the Terms of Use or any question arising from the interpretation of the Terms of Use shall be settled each time upon business meeting in good faith between Osaka Prefecture and the Executive Office.

Article 32 (Exclusive Agreed Jurisdiction)

1. In the event that a lawsuit becomes necessary between a user and the Executive Office, etc, the Osaka District Court shall be the court of exclusive jurisdiction of the first hearing between The User and the Executive Office, etc.

Article 33 (Applicable Law)

1. These Terms of Use shall be governed by and construed in accordance with the laws of Japan.

1. These Terms of Use shall come into effect on June 22, 2023.
